Besides the take-over rumour by C&C, there is another rumour of it merging with ST Auto's vehicle inspection unit. ST Auto has been looking towards divesting its non-core business to concentrate on the manufacturing of infantry fighting vehicle. It is therefore conceivable that the group may just sell its vehicle inspection arm to Vicom.

Despite all the speculations, please note the announcement of Vicom to SEC on 2/7:
"Please be informed that none of our directors and/or substantial shareholders are aware of any reason for the recent sharp increase in the share price and turnover of our Company's shares"

Also, one of its directors (Heng Chye Kion) has disposed all his holdings (120 lots)on 1/7.

Hi everyone,

The time is right to consider taking up position at Vicom and U might want to do them on its weakness this week.

My sources said that instead of SAE inspection centre (part of ST Engrg) being taken over by Vicom, it is another way round. Thus, I would think that a merging plan is on the discussion table at the moment pending for the necessary announcement by the authority dept.

We had witnessed on how this baby can shoot up in the past, due to the majority stake being taken up by the COMFORT GROUP. And that explained the recent interests of the COMFORT shares prior to the Vicom's announcement.

Based on my own views, I would think that taking up positions in Vicom would have a more fruitful investment yield. SAE might come out with a double price offer - offer might come near to the $1.50 region. Vicom shareholders would have more direct interests in the event of a MERGER than the COMFORT shareholders.

My sources had re-affirmed that Vicom could be played to the fullest extent prior to the announcement date which I think should be very near already.

Anyway, this is a Gov't-linked company and operating an almost monopoly business and market. PE ratio is extremely healthy and sound. Virtually, all motorcar owners would need to visit its centres to renew our road tax after many years of ownership.

Anyone has better view at this forum on this counter???

I detected some abnormal activities last week. I welcome comments. I suspect that there would be a gradual upward movements from here onwards.

I would appreciate anyone's view on this counter!

Hi,

I believe that VICOM would give U all something better than ANG POW, wait till the PRESS CONFERENCE announces the MERGER with SAE Inspection Centre. Price would fly like nobody business!!!

Already spotted some serious buying and I cannot blame those people who come to know on the merging deal to park their savings into VICOM.

They have all the rights to claim their 4th quarter's special bonus from VICOM shares.

My source comes from the direct parties.

The small build-up volume might be generated from the related parties' workers. What do U think?

Before such a merger deal is being firmed up, they need to go through quite a few steps to seek for the approval code from the BIG MAN behind the scene. Same goes to the SBS and TIBS' deal where public transportation is concerned.

No harm trying at this price and all of us might hit a GOLD MINE in return.

Hi,

Merging deal in VICOM can never be wrong and just hang on a little while and U would thank me for a very long time.

I believe in what I saw and heard from my INSIDERS. Perhaps anyone here who have direct contacts with the two parties can also counter-check that merging news from your end too. I shall thank you for everything that U can contribute to this forum here.

I am actually surprised that you are so bold to 'endorse' the merger news.

In any case, I hope that there really is a BIG ang-pow [as mentioned by you] waiting for us stakeholders, otherwise.... :-(

Hi oklah,

Never to be worried about the merger, it would take a little bit of time to have the news announced through the proper channel.

I am sitting tight on the recent purchases and I am full with confidence. My sources hardly failed me in this aspect of merging news and the same sources also quoted me on the SBS/TIBs in the past through the same channel too.

Relax and have yourself an ice-cold beer and just wait for the lottery result to come unexpectedly.

I had been away from Singapore for a while and would have to take some time before I can adjust myself to the local market.

this gabriel yap of ongco spoke on tv during lunchtime and recommended people to buy vicom

immediately the price went up from 0.745 to o.81

this guy didnt say anything on merger of course

i believe you and i also believe my omn intuition

i have now more than 100 lots

waiting for the durians to fall from the tree, cant pluck the durians, wont be tasty if you do

In no time, U would see this counter going up higher to the 80+ cents again.

The merging is confirmed from my end.

Does D24 taste OK to U??? Very tasty you know!!!

MR YAP has a nose for good durian and he is awaiting for it to go up higher too. Let's see what would happen in the next durian season.

When is the time when D24 is being priced at $16 per kg??? Price would be firmer from here onwards.

Hi oklah,

I can already figure out how much U are about to make already with such a good price - less than 78 cents. Even with dividends handing out in this financial year would have U laughing all the way to the bank.

To be on the most conservative side, U would be getting somewhere around $100,000 if U held about 300 lots.

You really know how to differentiate a D24 and a normal durian. Many cheers to U in the next few weeks!!!

No firm updates yet but it seems that all the sellers are aiming higher for this counter.

I can imagine how excited U are at this moment.

Hi,

My sources told me that the interim results would be favourable for the share price to go higher. The results have been improving every year and the dividends are getting fatter year by year.

Indeed very nice to see you getting some decent profits.

Which company in the market can fight with such Gov't-linked company in a monopoly business??? I was told that at any time when the board wants to expand its operation, the Gov't dept involved would sell them their required land at the concession rate.

I cannot imagine that what would happen to any change in the emission control regulation. Instead of having to inspect once and all cars have to go twice just to satisfy the EURO-1 standard (had been getting a lot of attention lately in the papers). DOUBLE EARNINGs I suppose.

This counter is a GEM among all sub one dollar stocks and in the time to come after the announcement, I doubt that it can become a member of the sub one dollar club member.

Let's see for it to happen!!!

Hi,

I am not as big as what u think I am, I seldomly trade share in term of three hundred lots.

I need to come back to U on the date of the interim result announcement date from my source after this weekend.

Always accumulate it on its weakness for VICOM. At least I can ask for a shark fin and abalone dish for dinner plus D24 durian for supper at Geylang.

I guess that U may like this idea after all. Good luck to you for VICOM.

Throughout all the years in trading, I can smell a very good durian than a common durian. If you are looking for the best profit opportunity, then go for VICOM.

COMFORT is the substantial shareholder of VICOM and in the last run, MR GOH (key personnel from COMFORT) actually tasked the board to dump 2 million shares back into the market to cool VICOM's price down a little, and I am sure that he suspected INSIDER TRADING among both of the related parties too.

He should be missing more trips to TMCC if he wants to keep VICOM at the current price and leave it at this price range.

This deal is a confirmed deal in my own assessment. We shall await the board to decide on when to put up the announcement to the general public.

Given the number of active discussions on this stock, I thought that I will take a look at this.

Vicom's profits went up 45% to $6.15 mil or 5.5cts per share. Its NTA is at 44.63cts per share. Given its success in installing the 350,000 in vehicle units (IVU), the company announced a 15% dividend for year end Mar 99. This costed the company $2.2 mil; otherwise, its EPS would have increased by a further 2 cts to 7.5cts.

The annual report actually starts with the following message :
"Our core business, namely the inspection of vehicles, was not unduly affected by the economic upheavals that swept through the region. But their effect on the stock market in Singapore, however, had taken a bite in our investment in the quoted stocks. At the time of writing this statement, the effect appeared to have disappeared. This was not due to chance but to our deliberate strategy of investing in ‘blue chip’ stocks which had not only recovered but had their prices surpassed the pre-crisis levels."

True to these words, when one looks at the balance sheet, there is $12.3 mil in short term investments ( out of which $10 mil is in floating rate notes and the rest in quoted shares ). It has a further $8.3 mil in fixed deposits and another $780,000 as cash in the bank. There is no significant liability to talk about. Add all these up, it has $21.4 mil that it can call upon anytime. This works out to be 19cts per share.

On top of that it owns buildings valued at $15 mil or another 13cts per share. Unfortunately no mention is made what these buildings are.

As for shareholdings, the Comfort Group controls 73.82% of the shares and the rest are relatively small investors. In fact the top 19 largest shareholders after Comfort only owns a further 7% of the company. There are altogether 3,800 shareholders.

As for the share price, it has been moving in the trading range of 70 to 88cts for the last 5 months. I agree that this share is certainly promising. It has a good balance sheet and a very sound business that is expected to reap better returns in the years ahead. It should be announcing its results next week and I am sure it will confirm the growth of the business.

I will certainly be keen to start collecting this if it falls back to the lower end of its trading range. I guess there are those who feel that the results should sparkle and have been collecting recently. This to me is more a mid term recovery play than a short term one ( In Nov 97, it post a loss of 96% ).

I am hesitated to buy into this counter after Desmond's word(sorry Desmond), and really could not find a good level to make a purchase. Now, I think I know when to move in. I have 4 lots of Vicom bot at 0.845 in July 99.

For the past 7 days, I have been trying to unload them at 0.87, but without any success. :-(

Comfort's subsidiary Vicom has just announced a 187% increase in interim profits to to $2.5 million. This will probably have a positive impact on Comfort's share price tomorrow. We understand that Comfort will be releasing results end-November.

Review of the performance of the company and its principal subsidiaries
The Group's turnover remained practically unchanged at $5.315 million.

Investment income increased by $0.294 million compared to the previous corresponding period mainly due to higher profit from the sale of quoted shares.

Other income decreased by $1.362 million as a result of the completion of Electronic Road Pricing In-vehicle unit project in July 1998.

Due to the improved equity market, a write back of provision for diminution in value of investment in quoted shares is made, resulting in an exceptional gain of $0.457 million.

Hence, the Group's operating profit after tax and extraordinary item attributable to members of the Company increased from $0.940 million to $2.434 million.

Commentary on current year prospects
The revenue from vehicle inspection is expected to remain stable for the second half of the financial year. The Group therfore expects to remain profitable.

I think we have to be careful here. If one goes down to the line items, this is the actual report card:

The real operating profit actually fell from $4.18 mil to $3.66 mil or a fall of 12.6% although turnover was only marginally increased to $5.3 mil. This is probably due to the fact that the IVU project is quite profitable the year before.

It is the exceptional items that created this illusion of significant profit gain. Last year, there was an exceptional item of $1.3 mil and this year there was a writeback of $457,000. Add these up and you get a variance of $1.75 mil.

Now if you look at the final profit number, this year they announced profits of $3.2 mil vs $2 mil last year.

But like all things, one should not judge the book by the cover. It is the contents that matters most. In this case, this at best represents a flat performance to me.

Hi,

The next item on my shelves now is to look forward to is its merging plan with another competitor from the same industry. Moreover, its management is known not to be too selfish in handing out dividends in another six-mths' time. I am pretty sure that it would always be better than any local bank fixed depository rate.

I really wish that I am right about this.

Proposal was being drafted out and the rest would be up to MR GOH and the team. All the way, VICOM.

You may not be fast in your running, but you are kind of safe for me to keep your shares in my holdings. Awaiting for the bonus round in this VICOM's game.

Would like to see an undervalued counter to appreciate in weeks!!!

I'd would like to know is it worth holding on to this counter for the short term. I've 4 lots @ S$0.815 & still deciding whether to cut loss or wait for some things to happen. I was telling myself to let it go to free up some cash for Raffles IPO yet I'm worried that I might just missed the boat again.(Didn't sell when the price went up during the interim announcement) Advice anyone? I had a strong feeling that all of us are been conned that there is a 'M' that leaked out by so called Insider. I had 5 lot at 1.35. and had learnt my lession on 'buy on rumur and sell on facts' Cheer!
